Matters not provided for in these Terms shall be governed by applicable laws and regulations or by general custom.

2. The Company may agree to special provisions to the extent that they do not conflict with the purpose of these Terms, applicable laws and regulations, or general custom. Where such special provisions have been agreed, they shall prevail over these Terms.

Chapter 2 Reservations

Article 2 (Application for Reservation)

1. When renting the Rental Vehicle, the Renter may, upon agreeing to these Terms and the separately established Fee Schedule and related documents, apply for a reservation by the method separately specified, indicating in advance the vehicle class, the rental start date and time, the rental location, the rental period, the return location, the driver(s), whether accessories such as child seats are required, and other rental conditions (hereinafter the “Rental Conditions”).

2. When the Company receives an application for a reservation from the Renter, the Company shall accept the reservation within the range of Rental Vehicles it owns, and shall notify the Renter of the amount of the rental fee and the payment deadline.

3. A reservation shall be confirmed when the Renter has paid the full amount of the rental fee to the Company by the payment deadline set forth in the preceding paragraph and the Company has confirmed receipt of the payment (such time being referred to as “Reservation Confirmation”).

4. If the Renter fails to pay the full amount of the rental fee by the payment deadline set forth in the preceding paragraph, the application for a reservation under Paragraph 1 shall cease to be effective. In this case, the Company shall not charge a reservation cancellation fee.

5. Reservations are accepted through the Company’s website, official LINE account, telephone, or any other method specified by the Company.

6. Applications for reservations shall be made no later than four (4) days before the rental start date; provided, however, that this shall not apply where the Company has given its individual consent.

Article 3 (Changes to Reservations)

1. When the Renter wishes to change the Rental Conditions under Paragraph 1 of the preceding Article, the Renter must obtain the Company’s prior consent. Changes to a reservation are free of charge up to three (3) times; from the fourth change onward, the administrative fee specified in the Fee Schedule shall be charged for each change.

2. If the amount of the rental fee changes as a result of a change under the preceding paragraph, the Company shall notify the Renter of the revised rental fee and the payment deadline for the difference, and shall charge the Renter for any shortfall or refund any excess to the Renter.

3. Where the amount of the rental fee decreases due to a shortening of the rental period or any other change, and the Company finds that such change effectively constitutes a cancellation of the reservation, the reservation cancellation fee specified in the Fee Schedule shall apply mutatis mutandis to the reduced portion.

Article 4 (Cancellation of Reservations, etc.)

1. The Renter may cancel a reservation by the method separately specified.

2. If, for reasons attributable to the Renter, the Renter has not commenced the procedures for concluding the rental agreement for the Rental Vehicle (hereinafter the “Rental Agreement”) within one (1) hour after the reserved rental start time, the reservation shall be deemed to have been cancelled.

3. In the cases described in the preceding two paragraphs, the Renter shall pay the Company the reservation cancellation fee specified in the Fee Schedule, and the Company shall refund to the Renter the balance of the rental fee already received after deducting such reservation cancellation fee and the administrative fee specified in the Fee Schedule.

4. If a reservation is cancelled for reasons attributable to the Company, or if the Rental Agreement is not concluded for such reasons, the Company shall refund to the Renter the full amount of any money already received.

5. If the Rental Agreement is not concluded due to causes not attributable to either party, such as accident, theft, non-return, recall, or natural disaster, the reservation shall be deemed to have been cancelled. In this case, the Company shall refund to the Renter the full amount of any money already received; provided, however, that where Paragraph 1 of the following Article applies, that Article shall govern.

6. With respect to reservation applications made via the website, e-mail, official LINE, or similar means, if communications from the Company do not reach the address or account provided by the Renter, or if the Company is unable to reach the Renter by telephone, the Company may treat the application as not having been completed.

Article 5 (Measures Where the Vehicle Cannot Be Provided)

1. If the Company is unable to provide the reserved Rental Vehicle due to an accident involving, or a late return by, a preceding renter, a breakdown of the vehicle, a natural disaster, or any other cause, the Company shall promptly notify the Renter to that effect, and the reservation shall be deemed to have been cancelled.

2. In the case of the preceding paragraph, the Company shall refund to the Renter the full amount of any money already received.

3. In the case of the preceding paragraph, if the inability to provide the vehicle is due to causes attributable to the Company (including inadequate maintenance, a late return by a preceding renter, and other causes arising from the Company’s vehicle operations), the Company shall, in addition to the refund under the preceding paragraph, bear such amount as is found reasonable of the transportation expenses actually incurred by the Renter or the Driver for travel to and from the rental location and the accommodation expenses incidental thereto; provided, however, that the amount borne by the Company shall not exceed the total rental fee for the reservation (except where the Company has acted with intent or gross negligence).

4. The Company’s responsibility under the preceding paragraph shall not include costs or penalties arising from the cancellation of contracts concluded by the Renter or the Driver with accommodation facilities, activity or tourist facilities, or other third parties, nor damages arising from changes to or cancellation of travel plans.

5. In the case of Paragraph 1, the Company shall, at the Renter’s request, cooperate to the extent possible in arranging alternative transportation and accommodation.

6. Except as provided in the preceding paragraphs, the Renter and the Company shall make no claims against each other in connection with the failure to provide the vehicle (the same applies in the following Article); provided, however, that this shall not apply where the Company has acted with intent or gross negligence.

Article 6 (Disclaimer)

1. Except in the cases provided for in Article 2, Paragraph 4, Article 4, Article 5, and Article 9, Paragraphs 3 and 4, the Company and the Renter shall make no claims against each other with respect to a reservation application ceasing to be effective, a reservation being cancelled, or the Rental Agreement not being concluded; provided, however, that this shall not apply where the Company has acted with intent or gross negligence.

2. If the Company becomes unable to lend or provide the Rental Vehicle due to a natural disaster or other event of force majeure, the Company shall not be liable for any damage arising therefrom.

Article 7 (Reservation Through Agents)

1. The Renter shall indicate the Rental Conditions set forth in Article 2, Paragraph 1, and the Company shall indicate the rental terms by means of these Terms, the Fee Schedule, and related documents, whereupon the parties shall conclude the Rental Agreement; provided, however, that this shall not apply where no Rental Vehicle is available for rental, or where the Renter or the Driver falls under any of the items of Article 9, Paragraph 1 or Paragraph 2.

2. Payment of the rental fee shall be governed by Article 2, Paragraph 3 and Article 10.

3. Discounts apply to the basic fee only, and the discount rates, conditions of application, and whether discounts may be combined shall be as provided in the Fee Schedule.

6. In addition to the foregoing, the Company may separately charge rental fees for accessories. The amounts shall be as provided in the Fee Schedule or as otherwise specified.

Article 12 (Changes to the Rental Conditions)

1. After the Rental Agreement has been concluded, the Renter must obtain the Company’s prior consent when seeking to change the Rental Conditions under Article 8, Paragraph 1.

2. The Company may refuse to consent to a change under the preceding paragraph where the change would interfere with the Company’s rental operations.

In this case, as the Company does not own a substitute Rental Vehicle, no substitute vehicle will be provided; however, the Company shall bear such amount as is found reasonable of the costs of alternative transportation and the accommodation expenses actually incurred by the Renter or the Driver; provided that the amount borne by the Company shall not exceed the total rental fee (except where the Company has acted with intent or gross negligence).

4. Where the Breakdown, etc. arose from causes not attributable to any of the Renter, the Driver, or the Company, the Company shall refund to the Renter the balance of the rental fee already received after deducting the rental fee corresponding to the period from the rental until the termination of the Rental Agreement.

5. Except in the case of Paragraph 3, the Renter and the Driver may not make any claim against the Company other than as provided in this Article, regardless of whether insurance proceeds or compensation are paid, with respect to damages arising from being unable to use the Rental Vehicle (including costs incurred in arranging alternative transportation, accommodation expenses, and damages arising from changes to or cancellation of travel plans).

Chapter 7 Damages and Compensation

Article 29 (Damages and Business Compensation)

1. If the Renter or the Driver causes damage to a third party or to the Company during the use of the rented Rental Vehicle, he/she shall compensate for such damage; provided, however, that this shall not apply where the damage is due to causes attributable to the Company.

2. Among the Company’s damages under the preceding paragraph, damages arising from the Company being unable to use the Rental Vehicle due to accident, theft, breakdown attributable to the Renter or the Driver, or soiling, odors, or the like of the Rental Vehicle, shall be governed by Article 31, and the Renter or the Driver shall pay the same.

Article 30 (Insurance and Compensation)

1. Where the Renter or the Driver bears liability for damages under Paragraph 1 of the preceding Article, insurance proceeds or compensation shall be paid within the following limits under the non-life insurance contract concluded by the Company with respect to the Rental Vehicle and the compensation system established by the Company:

(1) Bodily injury liability: unlimited per person
(2) Property damage liability: unlimited per accident (deductible: JPY 100,000)
(3) Vehicle coverage: up to market value per accident (deductible: JPY 100,000)
(4) Personal accident (passenger) coverage: JPY 50,000,000 per person

2. Where any of the exclusions under the insurance policy or the compensation system applies, the insurance proceeds or compensation under the preceding paragraph shall not be paid.

3. Damages for which insurance proceeds or compensation are not paid, and damages exceeding the insurance proceeds or compensation payable under Paragraph 1, shall be borne by the Renter or the Driver.

4. Where the Company has paid damages that should be borne by the Renter or the Driver, the Renter or the Driver shall immediately reimburse the Company for the amount paid by the Company.

5. An amount equivalent to the insurance premium for the non-life insurance contract under Paragraph 1 and an amount equivalent to the enrollment fee for the compensation system established by the Company are included in the rental fee.

6. Where the Rental Vehicle becomes unable to be driven due to an accident, breakdown, or the like, towing shall be arranged by the Renter or the Driver by contacting directly the road service of the insurance company designated by the Company (the Company does not arrange towing). Towing costs are covered within the limit of such road service; costs exceeding that limit, and towing costs arranged without going through such road service, shall be borne by the Renter or the Driver.

7. Where the Rental Vehicle, its interior equipment, or nearby buildings or other property are damaged due to ignition or the like of a mobile battery or other rechargeable battery device brought into the vehicle by the Renter or the Driver, such damage shall be outside the scope of the insurance and compensation systems, and the Renter or the Driver shall compensate the full amount thereof, regardless of whether he/she has enrolled in the Additional Coverage.

Article 31 (Non-Operation Charge)

1. Where repair, cleaning, or the like of the Rental Vehicle becomes necessary due to accident, theft, breakdown (excluding those attributable to the Company), soiling, odors, or the like (including damage to interior equipment and fittings, burn holes in seats, etc.), the Renter or the Driver shall pay the Company the following Non-Operation Charge as part of the compensation for the Company’s business during that period, separately from compensation for damages, regardless of the extent of the damage and regardless of whether the vehicle can be returned under its own power:

(1) per day of vehicle downtime: the amount specified in the Fee Schedule (the maximum number of days and the maximum amount are specified in the Fee Schedule).

2. The number of days of downtime under the preceding paragraph shall be based on the period that the Company finds to be ordinarily required for the repair, cleaning, or the like.

3. Exemption from payment of the Non-Operation Charge shall be governed by Article 32 (Additional Coverage).

Article 32 (Additional Coverage)

1. The Renter may enroll in the Company’s prescribed Additional Coverage (the enrollment fee is specified in the Fee Schedule) only at the time of concluding the Rental Agreement. The enrollment fee is capped at fifteen (15) days’ worth, and payment of fifteen (15) days’ worth applies to the entire rental period; provided, however, that where the rental period exceeds one (1) month, the cap shall be fifteen (15) days’ worth per month.

2. Where the Renter has enrolled in the Additional Coverage, the burden of the deductibles under Article 30, Paragraph 1, Items (2) and (3), and the payment of the Non-Operation Charge under Article 31, shall be waived.

3. With respect to repair costs and restoration costs relating to damage, soiling, or odors of interior equipment, fittings, or the interior (regardless of whether arising from an accident), where the Renter has enrolled in the Additional Coverage, the burden shall be waived up to a limit of JPY 100,000 per accident, and any portion exceeding that limit shall be charged at actual cost. Where the Renter has not enrolled in the Additional Coverage, the full amount (actual cost) shall be charged.

4. The Additional Coverage cannot be enrolled in or cancelled after the Rental Agreement has been concluded.

5. With respect to the accidents or damages listed in the following items, the waiver shall not apply even where the Renter has enrolled in the Additional Coverage:

(1) items for which the deductibles and the Non-Operation Charge shall be borne:

(a) accidents, contact, or property damage occurring while reversing (driving in reverse);
(b) accidents, contact, or property damage arising from entry into places with overhead structures such as roofs, eaves, or gates (including multi-story parking garages, coin-operated parking lots, drive-throughs, and campsites with many trees) (entry into such places is prohibited regardless of height; when parking, a passenger must get out of the vehicle and guide the driver);
(c) rear-end collision with a vehicle or stationary object ahead;
(d) single-vehicle accidents involving no other vehicle, such as collision or contact with guardrails, utility poles, buildings, walls, signs, trees, or other objects;
(e) where no contact was made with the Company from the scene of the accident;
(f) accidents falling under the exclusions or prohibited acts of the insurance policy or these Terms (excluding cases falling under the following item);

(2) items to which the insurance and compensation systems also do not apply, and for which the full amount of repair costs and other damages shall be borne:

(a) where no report was made to the police at the time of the accident (Article 72 of the Road Traffic Act) (where a traffic accident certificate is not issued, such as for an accident on private property, a report to the police, contact with the Company immediately after the accident, and submission of photographs of the scene shall substitute for such report);
(b) refueling with the wrong fuel type at a self-service station (including engine damage and fuel tank cleaning costs);
(c) damage caused by climbing onto the roof of the vehicle;
(d) accidents caused by the driving of a person not stated on the Rental Certificate (a person who has not presented a driver’s license);
(e) where a settlement or other agreement was reached with the other party without the Company’s consent;
(f) loss of the keys;
(g) accidents caused by driving under the influence of alcohol or in a state of intoxication, or under the influence of drugs;
(h) damage caused by earthquake, tsunami, or volcanic eruption;
(i) other cases falling under the prohibited acts of these Terms or the exclusions of the insurance policy, where insurance proceeds or compensation are not paid.

Note (restatement of items outside the coverage)

・Accidents, contact, or property damage occurring while reversing are outside the scope of the Additional Coverage. When parking, a passenger must always get out of the vehicle and guide the driver.
・Regardless of height, entry into any place with a roof or eaves is prohibited. Accidents, contact, or property damage at such places are outside the scope of the Additional Coverage.

Article 33 (Deposit)

1. Where damage to the Rental Vehicle or damage to its interior equipment or fittings is confirmed at the time of return of the Rental Vehicle, the Renter or the Driver shall pay to the Company at the time of return, as a deposit, the total of the deductibles under Article 30, Paragraph 1, the Non-Operation Charge under Article 31, and the estimated actual amount of the repair and restoration costs, in a lump sum by credit card or in cash.

2. After completion of the repair and restoration, the Company shall determine the actual amount to be borne by the Renter or the Driver; where there is a difference from the deposit received, the Company shall settle it without delay and, where there is an overpayment, refund it to the Renter.

Chapter 8 Termination of the Rental Agreement

Article 34 (Termination of the Rental Agreement)

1. If the Renter or the Driver violates these Terms during use, or comes to fall under any of the items of Article 9, Paragraph 1, the Company may terminate the Rental Agreement without any notice or demand and immediately demand the return of the Rental Vehicle. In this case, the Company shall not refund the rental fee already received.

2. Termination under the preceding paragraph shall not preclude the Company from claiming damages from the Renter or the Driver, or from claiming the Non-Operation Charge under Article 31.

Article 35 (Termination by Mutual Consent)

The Renter may, even during use, terminate the Rental Agreement with the Company’s consent. In this case, the Company shall not refund any fees already received.

2. Where the Company obtains personal information of the Renter or the Driver for a purpose not set forth in the preceding paragraph, it shall do so after clearly indicating the purpose of use in advance.

3. The Renter and the Driver shall rent the Rental Vehicle upon consenting in advance to the fact that a dashcam is installed in the Rental Vehicle and that the records under the preceding paragraph will be made.

Article 37 (Consent to Use of Personal Information)
